  • This Agreement is made and entered into by and between: UCP Group, Inc. ("Company") and * ("Student") Holding passport number * Issued by * (Country) for the purpose of receiving certain confidential information of (Company) to enable the (Student) to undertake the project described at the end of this Agreement ("Project").

  • Company and Student hereby agree as follows:


    1."Confidential Information" includes but not limited to, any training material, digital material, slides, training techniques, training methods regardless of whether such information was provided before or after the date of this Agreement, or how it was provided to the (student) whether in writing, electronic or digital form, verbally or by inspection of documents, in training, slides, computer systems or sites or pursuant to discussions, or by hearsay, or by any other means or other forms and whether (directly or indirectly) including smartphone messaging apps and emails. Confidential information will also include but not limited to, technical information provided by the company, training, instructing, assessing, teaching, qualifying and services, Information regarding educational materials and know-how, courses, courses descriptions, courses materials and methods of teaching, Information on PowerPoints that are obtained either by attending the (company) as a student, staff, independent private contractor or in association with a company, including but not limited to, power points that were presented at (Company) premises or training centres for staff and students; Information relating to designs, course designing, devices, drills, instructing materials, diagrams, media flyers, marketing methods and materials. Information related to other students, including but not limited to “student” and other students, includes but not limited to, test results, “student" or other students information, “student”(s)’ finances, student(s)’ attendance, student(s)’ performance, student(s)’ course progress, outcome of courses, student"(s) workbooks, students reports, staff or managements reports of students. Information related to student(s)’ processes, inventions, research projects and product development. Information related to recruiting, recruiting methods, recruiting leads and recruiting via 3rd party “Governmental & Private" and recruiting contacts obtained through or from (company); Information related to technical memoranda and correspondence including mobile and messaging via applications and any messaging application.

    "Confidential information" also includes but not limited to the process of the course, giving feedback of the course, or sharing the course events, training and training methods of the course, staff and instructors' names, staff members, staff position, your personal opinions of the staff, staff performance, staff attendance and staff actions for the length of this agreement.


    2. Premises definition: The (company)'s postal address, physical address and any private or public entity or private and public locations that the Company and Client use for education and training purposes and drills.


    3. Staff are members that are directly employed by the (Company) with or without a contract, including but not limited to any private instructors, assistant instructors that are contracted directly by (Company) and/ or appointed by (Company) or (Company) management. Staff will also include any member that and (company) chooses for instructing, assisting or play-rolling for training purposes. Staff will also include any driver, medic, volunteers, and any other member that is on the premises that is in service of (Company).


    4. No information will be Confidential Information that is already known to the Student or it is public information excluding any teaching materials or training, theory, and practical that is received by the Student at the time of the course “project”.


    5. Except as provided herein, (Student) will not disclose any Confidential Information to any other person. (Student) will not use any Confidential Information other than in connection with the Project.


    6. Student may disclose Confidential Information ONLY to (i) to other students on the same project who have executed non-disclosure agreements with (Company), (ii) in response to the lawful request or requirement of a governmental agency or by the requirement of law, and (iii) to the faculty member supervising the Project, provided that the faculty member has signed a non-disclosure agreement with (Company).


    7. (Company) understands that to complete any instruction from the advanced course project only the requirements of the course in which he or she is enrolled, Student must give a substantive presentation concerning the Project to an audience that will not have signed non-disclosure agreements and that such presentation will include information about the (Company). (Company) will work with (Student) to prevent the inclusion of Confidential Information in the presentation and any written materials prepared by the (Student).


    8. All Confidential Information delivered by (Company) to (Student) will be and remain property of (Company). All Confidential Information, and any copies thereof, will be promptly returned to (Company) or destroyed by Student upon (Company's) request.


    9. The obligations of (Student) under this Agreement shall terminate after 36 months from the end of the project


    10. This Agreement may not be modified except by a written instrument signed on behalf of each party. Either party may assign this Agreement to a parent corporation, to a wholly-owned subsidiary, or a successor of substantially all the business or assets of the party. This Agreement embodies the entire agreement and understanding of the parties and terminates and supersedes all prior independent agreements and under takings between the parties. The provisions of this Agreement shall be construed in accordance with the laws of the UK All notices, requests or consents given in connection with this Agreement shall be given in writing and sent by first-class mail, postage prepaid, telegram, teletype, telex, cable or email to the addresses listed at the end of this Agreement unless either party notifies the other party of a different address.

  • General Provisions


    1. Time is of the essence in this Agreement. This Agreement may be executed in counterpart. Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this Agreement. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa. The clauses, paragraphs, and subparagraphs contained in this Agreement are intended to be read and construed independently of each other. If any part of this Agreement is held to be invalid, this invalidity will not affect the operation of any other part of this Agreement. Phrasing and wording of definitions and clauses will not hold the agreement to be invalid.


    2. (Student) is liable for all costs, expenses and expenditures including, and without limitation, the complete legal costs incurred by the “company” in enforcing this Agreement as a result of any default of this Agreement by the Student.


    3. The (Company) and the (student) acknowledge that this Agreement is reasonable, valid and enforceable. However, if a court of competent jurisdiction finds any of the provisions of this Agreement to be too broad to be enforceable, it is the intention of the (Company) and the “ Student” that such provision be reduced in scope by the court only to the extent deemed necessary by that court to render the provision reasonable and enforceable, bearing in mind that it is the intention of the student to give the “ company” the broadest possible protection to maintain the confidentiality of the Confidential Information.


    4. No failure or delay by the Client in exercising any power, right or privilege provided in this Agreement will operate as a waiver, nor will any single or partial exercise of such rights, powers or privileges preclude any further exercise of them or the exercise of any other right, power or privilege provided in this Agreement.

    5. This Agreement will inure to the benefit of and be binding upon the respective heirs, executors, administrators, successors and assigns, as the case may be, of the (Student) and the (Company). This Agreement constitutes the entire agreement between the parties and there are no further items or provisions, either oral or otherwise.

    Project:

    Any online or in person courses offered by UCP GROUP (the company) or its affiliates associated including but not limited to UCP. In any location the courses or training is offered .

    Purpose:

    This agreement, effective as of, constitutes an agreement regarding certain confidential and proprietary information and trade secrets (“Confidential Information”) related to the business of Up Close and Personal Group Ltd (UCP) LLC, located at 12A Peacock Street Gravesend Kent DA12 1EF, represented by its authorized signatory Mr. Criss Watts (collectively referred to as the “Parties”). For the purpose of this agreement, UCP will be referred to as the “Disclosing Party” and as the “Recipient”.

    Non-Compete:

    During the 24 month term of this agreement, the Recipient shall not represent, provide services for, or engage in trading or using Up Close and Personal Group Ltd material, techniques, or program designs for any purpose other than personal usage in the intended qualification undertaken, without the clear written consent of the “Disclosing Party”. The Recipient also agrees not to engage in any similar business related to security training with UCP’s current or former clients, directly or indirectly, for a period of 24 months following the termination of this agreement.

    Confidential Information:

    Confidential Information includes all technical and non-technical information provided by the Disclosing Party, such as data, proprietary information, plans, methods, processes, know-how, program specifications, marketing methods, or any other subject matter pertaining to the business of the “Disclosing Party” or its clients, consultants, or licensees disclosed to the Recipient under the terms of this Agreement.

    Permitted Disclosure:

    Confidential Information does not include information that has become generally known to the public through no wrongful act by the Recipient, has been rightfully received by the Recipient from a third party without restriction on disclosure, has been approved for release to the general public by written authorization of the Disclosing Party, or has been disclosed pursuant to the requirement of a governmental agency or a court of law without similar restrictions or other protections against public disclosure.

    This agreement represents the entire understanding between the Parties and supersedes all prior negotiations, understandings, and agreements. Any modification of this agreement must be in writing and signed by both Parties.

    Return of Materials:

    Upon termination or expiration of the Agreement, or upon written request of the “Disclosing Party”, the Recipient shall promptly return to the “Disclosing Party” all documents and other tangible materials representing the “Disclosing Party's Confidential Information and all copies thereof. The “Disclosing Party'' shall notify the Recipient immediately upon discovery of any loss or unauthorized disclosure of the Confidential Information.


    Remedies:

    Should the Recipient breach any of the provisions of this Agreement by unauthorized use of UCP Hostile Awareness Material and its training techniques to any unauthorized third party or use it for self-benefit to the “Disclosing Party's detriment or damage, the Recipient agrees to reimburse the “Disclosing Party” for any loss or expense incurred by the “Disclosing Party” as a result of such use or unauthorized disclosure or attempted disclosure, including without limitation court costs and reasonable attorney’s fees incurred by the “Disclosing Party'' in enforcing the provisions hereof.

    Choice of Law:

    This Agreement shall be governed by and construed in accordance with the laws of the State of California without reference to its conflicts of laws principles. Any disputes arising from or related to the subject matter of this Agreement shall be heard in a court of appropriate jurisdiction in California USA or any other court of jurisdiction that the “Parties” see fit to proceed in any domestic or international courts and the parties hereby consent to the personal jurisdiction and venue of these courts. If any provision of this Agreement or its application is held to be invalid, illegal, or unenforceable in any respect, the validity, legality, or enforceability of any other provisions and applications herein shall not in any way be affected or impaired.


    Entire Agreement:

    This Agreement is the entire agreement of the parties. This Agreement may be modified only by a subsequent written agreement signed by both parties hereto. Witness Whereof, the undersigned parties have executed this Non-Compete/Non-Disclosure Agreement as of the Effective Date, by their duly authorized representatives.

  • Standard terms and conditions of contract:
    The following terms and conditions apply to all orders for the purchase of services from Up Close and Personal Group (UCP).

    We advise you to print off and keep a copy of these terms and conditions for your records. These terms and conditions do not affect your statutory rights.

    DEFINITIONS

    “Service(s)” means the security services or course(s) offered by Up Close and Personal Group (UCP). (Information, Cancellation and Additional Charges) Regulations 2013, included at the back of these Conditions; “Personal data” shall have the meaning set out in the Data Protection Act 1998; “We/us” means Up Close and Personal Group (UCP).; “Website” means www.ucp-group.com or any subsequent URL which may replace it; and “You” means the purchaser of services from the Up Close and Personal Group (UCP).

    We reserve the right to cancel or reschedule any of our courses. Where it is necessary to cancel or reschedule any courses, you will be informed at the first available opportunity and participants/delegates will be rescheduled as a priority to the next available course(s). We do not accept any responsibility for certificates expiring as a result of a cancelled course.

    PAYMENT

    Individual consumers are required to make payment at the time of booking. Initial deposit of 35% is required to initiate registration. Full or remainder payment is required 2 weeks prior to the course start date unless otherwise arranged with our management in writing to [email protected] We reserve the right to withhold certificates until full payment has been cleared.

    If you are unable to pay through the UCP website with a valid credit card, there is an option to wire/transfer funds. If sending a wire, please email a copy of the wire request to [email protected] referencing name of participant/delegates and course/location/dates in subject line. Any questions, please contact us [email protected]

    If Pay in Cash option selected for payment method, a credit card will still be needed for verification and to guarantee a spot for participation. Note: Credit card will not be charged if all cancellation and payment methods are met.

  • TRAVEL/ VISA INVITATION LETTERS

    Please check the travel/document requirements with your local embassy of the country you are traveling to before registration booking. If you need UCP to issue a travel visa invitation letter, please contact us [email protected]. Visa Invitation letter will only be issued after participant has sent to us the Embassy appointment/confirmation letter. Full course payment is due before UCP can issue Embassy Invitation letter (if required/requested).

    Additionally, all UCP forms must be signed & submitted before travel visa invitation letter. Course fees will be refunded 80% if travel visa is refused. The offer for course will be valid for a year from date the visa invitation letter is issued. Note that we will not assist you in scheduling embassy appointments or guiding you through procedural matters. Our responsibility is strictly limited to issuing the Invitation letter to the embassy.

  • COMPANY CANCELLATIONS

    If you are booking as a company or an individual the deposit is non-refundable. The full course fee will be charged for cancellations made fewer than 30 working days before the course start date (close protection, will be charged at 75% of course fee regardless of point of cancellation). Cancellations must be received by email and/or in writing ([email protected]). This applies to both scheduled courses and group bookings.

  • COURSE TIMING AND JOINING INSTRUCTIONS

    Good time keeping throughout the course is essential. We will issue full joining instructions to the participants/delegates attending the course, which includes information regarding the start time of the course. If the booker does not receive the joining instructions, it is their responsibility to contact us either by phone (08001951644) or email [email protected] to arrange for them to be re-sent.

    Failure to attend the course due to not receiving joining instructions will result in the full cost of the course being charged. It is the responsibility of the booker to ensure that the delegate is fully briefed and made aware of these instructions and all course requirements before attending the course.

  • AWARDING BODY COURSES

    UCP reserves the right to withdraw you from registration for any awarding body course if you fail to meet the center assessment criteria or if the Internal Quality Assessor (IQA) determines that you do not meet the qualifications necessary to continue with the awarding body qualifications or courses. In such cases, 30% of the course fees will be refunded as future credit with UCP. It is understood that UCP’s responsibility ceases upon the provision of training.
    UCP will arrange bookings for initial examinations. You are accountable for the fees and scheduling of any resit examinations. Failure to pass the Internal Quality Assessor (IQA) assessment, center assessments, or non-compliance with the instructor and assessor's stipulated timelines will result in your withdrawal from the center and non-registration with awarding bodies.

  • ATTENDANCE

    Participants/Delegates must attend and complete all aspects of the course to qualify for certification. The full cost of the course will be charged for delegate(s) who arrive late or are absent from all or part of the course. This applies even if they are refused admittance due to lateness.

    Participants/delegates should plan to arrive the airport in the state/country wherein the course/training is taking place one a day before the start date for check-in.

    Please note that we may change the venue with notification of change via text or email at any point leading up to the course, so we politely request that you monitor and check texts and emails on the morning of the course.

    MEETING THE NEEDS OF Participants/DELEGATES

    We have an Equal Opportunities Policy. To enable us to ensure that all customers are treated fairly and their requirements are fully met, you must advise us in advance of any special requirements that participant(s)/delegate(s) need in order to enable them to participate fully in the training.

    Please note that we do not provide any specialist equipment and/or personnel such as signers or translators; however, these can be sourced at your own cost.

    DELEGATE SELECTION

    It is the responsibility of the employer to select suitable persons to train to become security operatives in the workplace. It is important that such individuals are:

    Physically be able to demonstrate physical activity. The duties of security operatives can be physically demanding. In line with the SIA's requirements, delegates must be free from any condition that will affect their participation in the course and their capability to carry out the duties of a security operative.

    LIMITATION OF LIABILITY

    Except in respect of death or personal injury caused by our negligence, we shall not be liable by reason of any representation (unless fraudulent) or implied warranty condition or other term, or any duty at common law or under the express terms of this agreement, for any loss of profit or any indirect special or consequential loss, costs, expenses or other claims for compensation. Our entire liability to you under or in connection with this agreement and the provision of the security training shall not exceed the sum of twice the contract value. Nothing in this paragraph is intended to exclude any liability on our part for fraud.

    DATA PROTECTION ACT 1998

    Non-sensitive Personal data collected will be used for the purpose of delegate(s) and course administration and may be disclosed to appropriate bodies/organisations associated with such course. The information may also be used for marketing purposes, and you may be contacted by telephone or e-mail with details of future similar events and courses organised or promoted by us, which may be of interest to you. We will not send marketing communication to any individual or organisations that have requested that their details are not used for such purposes.

    We take appropriate physical, electronic and managerial measures to ensure that we keep your information secure, accurate and up to date, and that we only keep it as is reasonable and necessary. If Personal data is disclosed, the Service Provider will ensure the bodies/organisations to which the personal data is disclosed maintain equivalent measures and processes.

    Contact details supplied to us will not be passed on to third parties.

  • CONSUMER CANCELLATIONS/RESCHEDULING OF COURSES

    If you are booking as an individual, your deposit is non-refundable, and you have 7 calendar days in which to cancel your booking from the date it was made. If your course is due to start 30-calendar day period we will offer a rescheduled date at no extra charge, but within 30 working days will result in the full course fee being due regardless of attendance. For close protection, there is a 75% charge for cancellations regardless of attendance.

    If you are unable to attend the training/course due to COVID reason, travel restrictions and/or any extenuating circumstances, UCP will issue a credit (excluding deposit) which can be applied towards any future UCP training/course.

    UCP SAFETY PISTOL AWARD CERTIFICATION
    UCP Safety Pistol award is signed by certified NRA Chief Range Officer and a $25 fee will apply for issuance upon completion of free online Safety Pistol course.

    Due to Covid 19 UCP can no longer provide complimentary eye & ear protection; therefore, please bring your own or, you can purchase from the Academy tactical shop. Due to Covid 19 you are required to always wear a face mask during the course/training.

    BACKGROUND CHECK
    We reserve the right to run our own background check. Based on results, we have the right to refuse any applicant with full refund of deposit. Additional documentations or clarification might be requested for approval of participation.

  • ASSUMPTION OF RISKS: Physical activity, by its very nature, carries with it certain dangers and risks that cannot be eliminated regardless of the great care taken to prevent or minimize harm. UCP Group & Associates use facilities for various training and related activities included but not limited to physical training, running, cycling, swimming, fire, firearms, airsoft and wild activates. Some of these activities involve endurance or strenuous exertions of strength using various muscle groups, some involve quick movements involving speed and change of direction, some included but not limited to involving contact with equipment, fixed objects or fire or firearms, or sharp items or even animals and other creatures that live in the wild, other participants (including participants that are older or younger and who may be larger or smaller in terms of weight and height) and various surfaces types, and others involve sustained physical activity that places stress on the cardiovascular and nervous systems. The specific risks vary from one activity to another, but in each activity the risks range from (1) minor injuries including but not limited to cuts, bruises, muscle strains and sprains, to (2) major injuries including but not limited to broken or fractured bones, concussions, or lost teeth, to (3) catastrophic injuries, including but not limited to heart attacks or fractured skull or those that cause disfigurement, loss of mental capacity, loss of sight, speech or hearing, paralysis, or death. I also understand that the Participant may be exposed, or expose others, to contagious and potentially harmful or deadly disease included but not limited to COVID-19 with its variant strains, influenza, common cold, chicken pox, meningitis, or measles. Participant will also be exposed to risks while traveling (such as in vans when traveling to and from competitions, social events, or the airport), exposure to large crowds (such as at a big competition or a music concert), and exposure to risks related to receipt of treatment for any physical or mental condition.

    Participant and Parent/Guardian have read the previous paragraphs and (1) understand the nature of the activities participation with UCP Group & Associates, (2) understand the demands of those activities relative to the physical condition and skill level of Participant, and (3) appreciate the types of injuries and illnesses and risks related to treatment for any physical or medical condition which may occur as a result of activities that I participate with UCP Group & Associates. Participant and Parent/Guardian hereby assert that participation in any program run by UCP Group & or Associates , and use of their facilities or facilities they use as a training ground or spot, and services is voluntary and that Participant and Parent/Guardian knowingly assume all related risks.

    PUBLICITY RELEASE AND CONSENT: Participant and Parent/Guardian consent to all recording, photographing and filming of Participant (the “Recordings”) and each agree that UCP Group & or Associates can use these Recordings and images at any time and in any manner without payment to, or additional consent of, Participant or Parent/Guardian release UCP Group & Associates and its licensee from all claims related to use of the Recordings and images and media files.

    ACKNOWLEDGEMENT OF RULES AND STANDARDS OF CONDUCT: I understand that UCP Group & Associates has rules and standards of conduct that are set forth in the participant's handout upon checking in. I agree to abide by these rules and standards for the safety of all participants, guests and Employees. Participants will be provided with a copy of the rules and standards of conduct upon check-in. Any consequences that come as a result of violating the rules and standards as defined by the participant's conduct rules .Any dismissal due to a rules and standards violation will not result in a refund.

    ACKNOWLEDGMENT OF UNDERSTANDING: Participant and Parent/Guardian have read this agreement to participate and fully understand its terms. Participant and Parent/Guardian acknowledge freely and voluntarily signing the agreement to participate and intend the signatures to signify a complete assumption of the inherent risks of participating in or observing activities and training with UCP Group & Associates to the greatest extent allowed by law in any state or country a legal action is being proceeded.

    Participant and Parent/Guardian have read this Agreement and fully understand its terms. In signing this Agreement each acknowledges that he or she is consenting to the Participant’s participation with UCP Group & or Associates (as specified in paragraph one) and acknowledge that each of Participant and Parent/Guardian expressly assumes all inherent risks of UCP Group & Associates, training & activities.
